Terms of Service

Last updated: 19 April 2026

These Terms of Service govern your access to and use of Formula, including the storefront, catalog search, chat, saved profile, saved payment setup, autonomous shopping workflows, order routing, checkout recovery, and any related browser runtime, orchestration layer, or operator tooling used to provide the service.

Formula is both a research-oriented shop aggregator and an autonomous shopping agent. It helps you search across third-party merchants, compare catalog listings, stage items, route carts, and, where supported, execute or assist with checkout steps on your behalf. Formula is not a manufacturer, pharmacy, healthcare provider, or the seller of every item shown in search results.

By clicking to agree, signing in, saving profile or payment details, submitting a cart, resuming an order, or continuing to use Formula after an updated effective date, you agree to these Terms as they exist then and as they may be amended later to the fullest extent permitted by applicable law.

1. Contracting party and scope

In these Terms, Formula, we, us, and our means the operator of the Formula service and any affiliate, contractor, processor, browser runtime, orchestration worker, or service provider acting to operate the service. These Terms apply to all use of the service, whether you are browsing, searching, saving account data, communicating with the agent, staging a cart, submitting an order, or responding to an action-required flow.

If you use Formula on behalf of a company, lab, institution, or other organization, you represent that you have the authority to bind that organization, and you includes both you and that organization.

2. Eligibility and account authority

You must be at least 18 years old and legally capable of entering into binding agreements. You may use Formula only if doing so is lawful in every jurisdiction relevant to your access, payment, shipment, import, export, and intended research use.

You are responsible for all activity conducted through your account, credentials, devices, sessions, payment setup, and order instructions, whether initiated by you directly or by Formula acting on your saved instructions and permissions.

3. What Formula is and is not

Formula aggregates third-party catalog data, ranks and normalizes listings, assists with search and comparison, and may autonomously route supported merchant checkout flows. Formula may use saved account details, shipping information, payment method setup, and order instructions to execute those workflows.

Formula does not guarantee that any listing is current, accurate, legal in your jurisdiction, accepted by the merchant, in stock, or fit for your intended use. Formula does not provide medical advice, dosing advice, treatment recommendations, regulatory clearance, laboratory protocols, or assurances that a product may lawfully be imported, possessed, resold, or used in your jurisdiction.

4. Research-use-only restrictions

Unless expressly and prominently stated otherwise, items surfaced through Formula are offered and described on a research-use-only basis. You may not use Formula to obtain products for human consumption, clinical administration, therapeutic use, veterinary use, bodybuilding protocols, weight-loss regimens, consumer wellness use, or any other prohibited use.

You represent and warrant that you will use Formula only for lawful laboratory, analytical, procurement, or research purposes and that you will not ask Formula or any merchant to support prohibited use cases.

5. Authorization for the autonomous shopping agent

By using Formula, you expressly authorize Formula and its automated systems, including any electronic agent, browser runtime, workflow, or operator tooling acting on your instructions, to search merchant catalogs, compare listings, open merchant pages, populate forms, use shipping and billing information you provide, use supported payment method setups, submit requests to merchant systems, retry failed steps, recover interrupted flows, retrieve order status, and otherwise take actions reasonably necessary to carry out your shopping instructions.

This authorization includes the right to act on standing instructions you have previously given, including one-click or later-resumed checkout flows, until the relevant workflow is completed, canceled, blocked, or expired. Formula may pause and request additional input, including CVV, 3DS, CAPTCHA, or final review acknowledgement, where the merchant, card issuer, service design, or risk controls require it.

6. Your instructions, your risk, your responsibility

You are solely responsible for the accuracy, completeness, and legality of the instructions you give Formula. You bear the risk of any order, submission, prefill, address selection, quantity, merchant choice, payment authorization, or other action taken based on information you provided, saved, confirmed, or failed to correct in time.

Formula may act quickly and automatically. If you do not want the service to continue using a saved instruction, profile, or payment setup, you must stop the workflow before execution, remove the saved data, or stop using the service.

7. Merchant relationships and third-party terms

Merchants, marketplaces, payment providers, authentication providers, issuers, couriers, and other third parties may impose their own terms, restrictions, verification requirements, cancellation rules, and dispute processes. Your transaction with a merchant may also be subject to terms outside Formula’s control.

Formula is not responsible for a merchant’s conduct, listing content, acceptance criteria, inventory, substitutions, shipping practices, customs handling, refusals, cancellations, or refund decisions. The merchant, not Formula, decides whether to accept, reject, fulfill, delay, or cancel an order.

8. Pricing, availability, and listing information

Prices, product descriptions, availability, documentation, images, and quality references may change without notice and may differ between the time a listing appears in Formula and the time a merchant reviews or processes the order. Formula may remove, suppress, reorder, relabel, or refuse to present listings at any time.

Listing data may be incomplete, stale, normalized, inferred, summarized, translated, or reformatted. You remain responsible for verifying any item, batch, specification, certificate, documentation, and shipping eligibility directly with the merchant before relying on it.

9. Payment authorization, saved payment setup, and chargebacks

If you provide payment information or save a supported payment setup in Formula, you authorize Formula and its service providers to use that setup to route checkout flows and attempt payment transactions you instruct. CVV may be requested just in time and, where Formula says so, is not stored after the immediate checkout step.

You represent that you are authorized to use each payment method you provide. You remain responsible for all charges, fees, taxes, currency conversion costs, and merchant-side payment consequences associated with your orders. If you initiate an improper chargeback, reversal, or payment dispute after authorizing a transaction, Formula may suspend your account, refuse further service, or recover amounts and costs to the extent permitted by law.

10. Shipping, customs, and cross-border risk

You are solely responsible for ensuring that any shipment to Germany, France, the United Kingdom, or any other jurisdiction is lawful and permissible. Formula does not guarantee customs clearance, import legality, transit timing, local release, reshipment, or seizure outcomes.

Duties, taxes, holds, local inspections, import refusals, restricted-compound issues, and delivery failures are your responsibility unless applicable law clearly places that responsibility elsewhere.

11. Compliance, restricted use, and prohibited conduct

You may not use Formula to violate any law, regulation, sanctions regime, payment rule, merchant restriction, research policy, or institutional rule. You may not scrape, reverse engineer, probe, interfere with, overload, bypass, spoof, automate outside approved interfaces, or otherwise misuse the service or any merchant flow accessed through it.

You may not use Formula to submit false identity information, unsupported payment information, misleading research claims, unlawful order instructions, or instructions designed to evade merchant controls, customs screening, or local restrictions.

12. Electronic communications and records

You consent to receive these Terms, updates, notices, disclosures, receipts, order communications, and other records electronically, including by website posting, in-product notice, email, or account message where available. Electronic records and logs maintained by Formula or its providers may be used to establish your instructions, consents, submissions, authorizations, and order history.

13. Changes to these Terms

Formula may amend, replace, supplement, or restate these Terms at any time, including for legal, regulatory, security, operational, commercial, product, risk, or abuse-prevention reasons. Updated Terms become effective on the stated effective date or, if no date is stated, when posted.

By agreeing to these Terms now, you also agree that future versions may govern your later access and use of Formula. To the fullest extent permitted by applicable law, your continued use of Formula after the effective date of updated Terms constitutes acceptance of the updated Terms. If applicable law requires a different form of assent for a specific change, Formula may require you to click to accept before continuing certain uses of the service.

For changes that materially and adversely affect existing users, Formula may provide additional notice by posting a notice in the service, sending an email, or both. If you do not agree to amended Terms, your sole remedy is to stop using Formula, cancel or avoid new workflows, and discontinue further use before the updated Terms take effect.

14. Suspension, refusal, and termination

Formula may suspend, throttle, block, refuse, reverse, or terminate any account, session, order flow, merchant route, search result, payment setup, or specific instruction at any time, with or without prior notice, if Formula believes it is necessary for legal compliance, fraud prevention, service integrity, merchant compatibility, risk management, abuse prevention, operational reasons, or protection of Formula, its users, or third parties.

Suspension or termination does not eliminate obligations or liabilities already accrued, including payment obligations, merchant-side consequences, misuse investigations, or rights Formula has to defend itself or recover losses.

15. Disclaimers

To the maximum extent permitted by applicable law, Formula is provided as is, as available, and with all faults. Formula disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any warranty of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, quality, legality, merchant acceptance, successful checkout, customs clearance, shipment outcome, or compatibility with any merchant workflow or payment environment.

16. Limitation of liability

To the maximum extent permitted by applicable law, Formula and its affiliates, operators, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profit, revenue, data, business, goodwill, opportunity, shipment, customs release, order value, or substitute procurement, arising out of or relating to Formula, any merchant relationship, any agent action, any failed or delayed checkout, any suspended order, any listing inaccuracy, or any use or inability to use the service.

To the maximum extent permitted by applicable law, Formula’s aggregate liability for any claim arising out of or relating to the service will not exceed the greater of: (a) the amount of fees, if any, you paid directly to Formula for the specific transaction giving rise to the claim; or (b) one hundred U.S. dollars (US$100). Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

17. Indemnity

To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless Formula and its affiliates, operators, employees, contractors, licensors, and service providers from and against any claims, demands, actions, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to your use of Formula, your instructions to the agent, your orders, your violation of these Terms, your violation of law, your misuse of any product or listing, or your infringement of any third-party right.

18. Survival and interpretation

Any provision that by its nature should survive suspension, termination, or discontinuation of the service will survive, including provisions concerning payment obligations, merchant disputes, disclaimers, liability limits, indemnity, records, amendments, interpretation, and enforcement.

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the remainder of the Terms will remain in effect. Where mandatory consumer law gives you rights that conflict with these Terms, those mandatory rights prevail only to the extent required by law.

19. Contact and operator notices

Operational notices, legal notices, and support contact details may be displayed in the service, storefront, checkout flow, or account communications. You are responsible for keeping your account contact information current and for reviewing posted legal notices and updated terms.
